Environmental due diligence in Danish property transactions: seven checks that can change the risk picture

Environmental due diligence is most valuable when it connects records, site conditions and the intended business plan. The purpose is not to produce the longest list of possible concerns. It is to identify the matters that can affect value, timing, use or contractual allocation before the transaction is committed.

Start with the decision, not the document list

The same property can present a different risk profile to a long-term owner, a lender, a developer and a buyer planning an immediate change of use. A useful review therefore begins with the proposed transaction, the likely hold period, the intended works and the decisions that must be made before signing or closing.

This context determines where evidence must be strong and where a clearly stated information gap may be acceptable. It also keeps the review proportionate. An old workshop on a property being redeveloped for housing calls for a different level of scrutiny than a modern warehouse remaining in its current use.

The seven checks

The following checks repeatedly make the difference between a superficial screening and a decision-ready assessment.

  • Historical land use: look beyond the present tenant and test whether earlier activities could have involved fuels, solvents, metals, filling, workshops or waste handling.
  • Official environmental status: review mapped contamination, preliminary status, area classification and nearby registered sites, while remembering that an unmapped property is not necessarily an investigated property.
  • Tanks and buried infrastructure: reconcile BBR entries, municipal files, historic plans and physical clues such as fill points, vents, manholes or unexplained pipework.
  • Drainage and pathways: understand where spills could travel through yards, separators, sumps, drains, soil and shallow groundwater.
  • Building materials and indoor environment: consider asbestos, PCB, radon and other building-related matters in relation to occupation, refurbishment and demolition plans.
  • Neighbouring sources: review adjoining and upgradient uses where off-site migration or shared infrastructure could affect the property.
  • The future plan: test whether development, excavation, sensitive use or financing conditions turn a manageable existing condition into a material project issue.

Why official records are essential but not sufficient

Danmarks Arealinformation brings together valuable public environmental data, including information on contaminated land. It is an important starting point, particularly for identifying formal mapping and the wider environmental setting.

However, registers reflect what has been reported, investigated and processed. A missing entry may mean that no relevant issue exists, but it may also mean that the issue has never been recorded. The review becomes stronger when register data is compared with historical sources, municipal documents and what can actually be observed on site.

The site visit should test the desktop picture

A site visit is not a photographic tour. It should be planned around the questions raised by the records and the intended use. External yards, drainage, waste areas, plant rooms, basements, former production areas and boundaries often deserve more attention than the most visually prominent parts of the building.

The strongest observations either support the documentary picture or expose a mismatch. An unrecorded fill point, a repaired area of hardstanding, staining on soft ground or a process not described in the lease documents can change the follow-up recommendation. Equally, a well-maintained installation with coherent documentation may reduce uncertainty.

From assessment to action: when moderate risk still requires attention

A recent portfolio assessment of a commercial property found no evidence of an on-site release during the site inspection. That did not make the property risk-free. A mapped contaminated locality nearby created a plausible off-site question, while incomplete drainage and separator records made it difficult to test the potential migration route. Secondary containment for stored oil also needed improvement.

The same review identified gaps in the building information: no property-specific radon measurement and no hazardous-material survey suitable for future works. None of these matters, considered alone, justified an alarmist conclusion. Together, they supported an overall moderate rating with a defined action plan: obtain the missing authority files, verify drainage and separators, improve containment and reserve intrusive investigation for the point at which documentary work could no longer resolve the off-site linkage.

This is why the rating should never be read without the reasoning. Moderate does not mean unimportant, and a long list does not necessarily mean high risk. The useful output is the sequence of proportionate actions that allows the transaction team to separate immediate deal matters from post-acquisition asset management.

Report the consequence, not only the condition

A transaction team needs to know what a finding means. Is it likely to affect the purchase price, require a contractual protection, delay redevelopment, trigger authority dialogue or simply enter the asset management plan? A report that stops at technical description transfers the interpretation back to the client.

Good due diligence separates confirmed conditions, credible risks and information gaps. It then gives each material item an owner, a timing and a proportionate next step. That structure also makes portfolio reviews easier to compare and prevents low-consequence observations from obscuring the few issues that need attention before the transaction proceeds.

When further investigation adds value

Intrusive work is justified when it can resolve a material uncertainty. That may include targeted soil or groundwater sampling around a former tank, investigation of a suspected source area, verification of a vapour pathway or sampling of building materials before works are priced.

The important question is not whether more testing is technically possible. It is whether the result could change the deal, the design, the programme or the allocation of responsibility. Framing the investigation around that question produces better evidence and avoids broad programmes that consume time without improving the decision.
